1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ("ShoppingAds," "we," "us," or "our") governing your access to and use of our website, mobile applications, browser extensions, APIs, and all associated services (collectively, the "Platform"). If you do not agree to these Terms, do not access or use the Platform. By using the Platform, you represent that you are at least 18 years old (or 13 years old with verified parental consent for limited features) and have the legal capacity to enter into a binding agreement.

2. Description of Service

ShoppingAds is a retail media and shopping intelligence platform that provides:

• Price comparison: Aggregating and displaying prices from participating retailers via affiliate partnerships.
• Cash back rewards: Crediting a portion of affiliate commissions earned when users make qualifying purchases through Platform links.
• Smart Link routing: Intelligent URL routing that directs shoppers to the best available retailer based on price, cashback, shipping, and trust signals.
• Smart Buy Score: An algorithmic scoring system that evaluates products across multiple quality, trust, and value dimensions.
• Brand advertising: A sponsored advertising auction ad platform allowing brands to reach shoppers at the point of price comparison.
• Weekly circulars: Digital versions of retailer promotional materials.
• Deal alerts: Notifications when product prices meet user-defined thresholds.
• @Handle brand profiles: Custom brand identity pages on the Platform.

ShoppingAds does not sell products directly. All purchases are made through third-party retailers. We are not responsible for the products, services, or conduct of any retailer.

3. Account Registration & Security

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your password and for all activity under your account. Use a strong, unique password and enable two-factor authentication when available.
• You must notify us immediately at if you suspect unauthorized access to your account.
• You may not create accounts using false identities, register multiple accounts to circumvent limits or abuse the cashback program, or share your account credentials with others.
• We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, or abuse the Platform.

4. Cash Back Program

4.1 How Cashback Works

When you click an affiliate link on ShoppingAds and complete a qualifying purchase at a participating retailer, ShoppingAds earns a referral commission. We share a portion of this commission with you as "cash back." Cashback is credited to your ShoppingAds account balance, subject to the following terms:

• Tracking requirement: Your cashback purchase must be tracked through our affiliate link. Disabling cookies, using ad blockers, or opening a new browser session after clicking may break the tracking and prevent cashback crediting.
• Hold period: Cashback is held in "Pending" status for 7 days to allow for order verification and returns processing. After the hold period, it becomes "Available" for withdrawal.
• Minimum withdrawal: The minimum withdrawal amount is $10.00.
• Forfeitures: Cashback earned through fraud, account manipulation, or gaming the referral system will be forfeited and the account suspended.
• Returns: If you return a purchase, the associated cashback will be reversed from your account.
• Expiration: Cashback balances that remain unwithdrawal for 24 consecutive months of account inactivity may be forfeited.
• Not currency: Cashback balances are not currency, securities, or financial instruments. They have no cash value outside the Platform and cannot be transferred between accounts.

4.2 Cashback Tiers

Cashback rates vary by membership tier (Free: up to 8%; Plus: up to 12%; Premium: up to 15%) and by the specific retailer and product. Advertised cashback rates are maximum rates and may not apply to all products or purchases. ShoppingAds reserves the right to modify cashback rates, retailer participation, and program terms at any time with notice.

5. Brand & Advertiser Terms

5.1 Ad Campaigns

• Brands may create sponsored advertising auction campaigns to promote products on the Platform. All campaigns are subject to review and approval.
• Ad funds added to your brand account are non-refundable once campaign spend begins, except at our sole discretion.
• You represent that all ad creatives, target URLs, and promotional claims comply with applicable laws, including the FTC's truth-in-advertising guidelines and California's Unfair Competition Law (Bus. & Prof. Code § 17200 et seq.).
• We may reject, pause, or remove any campaign that violates our ad policies, applicable law, or that we determine is misleading, harmful, or inconsistent with the Platform's integrity.
• Campaign performance (impressions, clicks, CTR, spend) is tracked by our systems. You acknowledge that our records are the authoritative source for billing purposes.

5.2 Brand Profiles & Handles

• @Handles are licensed to you for use on the Platform; they are not purchased or owned. We may reclaim handles that violate trademark rights, impersonate others, or are associated with suspended accounts.
• Handle purchases are non-refundable.
• You grant ShoppingAds a non-exclusive license to display your brand name, logo, and content on the Platform for the purpose of operating the service.

6. Creator Program

Creators who join the ShoppingAds Creator Program may earn commissions on qualifying purchases made through their unique referral links ("Creator Smart Links"). Creator payouts are subject to a minimum threshold, verification requirements, and the platform's payout schedule. We reserve the right to modify commission rates, require identity verification, and disqualify creators who artificially inflate clicks or engage in referral fraud.

7. Referral Program

Referring users who successfully invite new members who complete qualifying purchases may earn bonus cashback of up to 2.0% on the referred user's first qualifying purchase. Referral bonuses are subject to the same hold period, fraud review, and forfeiture provisions as standard cashback. Self-referrals, fake account referrals, and bulk referral schemes will result in forfeiture and account termination.

8. Prohibited Uses

You agree not to:

• Use automated bots, scrapers, or scripts to access the Platform without authorization.
• Click your own affiliate links, use VPNs to simulate referrals, or engage in any cashback fraud.
• Reverse engineer, decompile, or attempt to extract the source code of the Platform.
• Impersonate any person, brand, or entity.
• Post, upload, or transmit malware, spam, or harmful content.
• Violate any applicable local, state, federal, or international law or regulation.
• Interfere with the integrity or performance of the Platform or its advertising auction system.
• Attempt to circumvent access controls, security measures, or payment systems.
• Use the Platform to facilitate unlawful discrimination or harassment.

9. Intellectual Property

The ShoppingAds name, logo, Platform design, Smart Buy Score algorithm, Smart Link technology, and all associated intellectual property are owned by and protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks without prior written permission. Product images and retailer content displayed on the Platform remain the property of their respective owners and are displayed under affiliate partnership agreements.

10. Disclaimers & Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SHOPPINGADS DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; (B) PRICES DISPLAYED ARE CURRENT OR ACCURATE AT THE TIME OF PURCHASE; (C) CASHBACK WILL ALWAYS BE SUCCESSFULLY TRACKED OR CREDITED; OR (D) ANY PARTICULAR RETAILER WILL HONOR ADVERTISED PRICES OR OFFERS. Price comparison data is retrieved from affiliate feeds and may not reflect real-time inventory or price changes. Always verify the final price on the retailer's website before completing a purchase.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST CASHBACK, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL CASHBACK CREDITED TO YOUR ACCOUNT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow limitation of certain damages, so some of these limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of the Platform; (c) your User Content; (d) your violation of any rights of a third party; or (e) any actual or alleged fraud, misrepresentation, or illegal activity by you.

13. Dispute Resolution & Arbitration

Informal Resolution: Before filing any formal claim, you agree to contact us at and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, you and ShoppingAds agree to resolve any disputes through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. YOU AND SHOPPINGADS WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.

Exceptions: Either party may bring individual claims in small claims court. Claims related to intellectual property infringement may be brought in court.

California Exception: Notwithstanding the above, California residents retain the right to file complaints with the California Attorney General or California Department of Consumer Affairs.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. For claims not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in California.

15. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraud, inactivity, or legal requirements. You may close your account at any time by contacting us. Upon termination: (a) your license to use the Platform ends immediately; (b) unprocessed cashback will be reviewed and paid out if valid within 60 days; (c) ad campaign funds that have not been spent may be refunded at our discretion.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or prominent notice on the Platform at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance. If you do not agree with the changes, you must close your account before the effective date.
